About the Position
Altus Power is currently seeking a highly motivated individual with the skills, experience, and aptitude to join our Legal team as a Paralegal. The candidate will report to our Chief Legal Officer and will work closely with the Legal team and other areas of the business to provide clerical, research and organizational support. The candidate should have experience handling corporate, contractual, regulatory, litigation, and financing matters. The successful candidate will play a pivotal role in contract management, finance facility compliance, entity management and pre-dispute matters.
Responsibilities:
• Assist on transactions, including organizing due diligence, managing data rooms, preparing schedules and assisting with closing and post-closing mechanics.
• Prepare, review and maintain legal correspondence, reports, contracts, officer certificates and other documents including legal notices and NDAs under the supervision of the Legal team
• Implement and manage a process to track contract lifecycle, including notifying relevant commercial colleagues of expiry dates, termination and/or renewal term
• Review and summarize a wide range of agreements, including, lease agreements, power purchase agreements, membership interest purchase agreements, development agreements, consulting agreements, and complex commercial agreements
• Maintain litigation records and coordinate internal investigations, collaborating across the business to respond to discovery requests or other demands.
• Serve as custodian for all pending and executed contracts, policies and other legal documents and update template contracts
• Coordinate review of vendor contracts and maintain central electronic databased of third-party contracts
• Conduct legal research on applicable federal, state or local law changes or other legal developments and communicate updates to legal team
• Assist in maintaining corporate records, preparing board and committee materials and regulatory filings and tracking financial filings, such as UCCs
• Assist in forming and managing entities, including preparing, reviewing and coordinating state and local filings.
Requirements:
• Bachelor's degree from an accredited college or university; paralegal certificate / CEP certification a plus.
• Corporate paralegal experience preferred, particularly in particularly in connection with clean energy platforms with expertise in advising on corporate and contractual matters.
• Experience reviewing and summarizing terms of contracts, such as NDAs, consulting agreements, development agreements, purchase agreements, financing agreements, and preferably, lease agreements and power purchase agreements.
• Proficiency in legal research tools and document management systems
• Is collaborative, self-motivated, curious, and a clear communicator of legal advice.
• Exceptional communication, organizational and project management skills, including a strong desire and ability to convert complex topics understandable for various audiences.
• Ability and strong desire to effectively advise, develop relationships, and work collaboratively across stakeholders both within and outside of legal.
• Solution-oriented, risk awareness, business service focused and maintains a growth mindset.
• Currently or to be registered as a Notary Public in the state of Connecticut
